Job Description:
The Corporate Counsel reports to the Lead Transactional Counsel
and the General Counsel to provide legal advice to internal clients
at all levels at New England Biolabs (NEB). The Corporate Counsel
will be responsible for drafting, reviewing, revising and
negotiating a broad range of corporate and commercial agreements
including Confidentiality Agreements, Material Transfer Agreements,
Software licensing and Software as a Service Agreements, Statements
of Work, Licenses, Professional Service Agreements, Research
Collaborations, Marketing Agreements, and IT and data-related
agreements.Primary Responsibilities:
- Review, draft and negotiate a broad range of contracts
- Assist with management of the contract lifecycle, including
drafts, modifications, amendments and renewals
- Assist as needed with contract templates, clause library and
related procedures
- Define risks and communicate findings to appropriate internal
decision-makers for discussion and resolution
- Interact with various internal clients to address legal and
business questionsRequired Qualifications and Experience:
- Minimum of 3 years' relevant experience drafting, reviewing,
and negotiating a wide variety of contracts, including but not
limited to non-disclosure agreements, material transfer agreements,
technology in-licenses and out-licenses, research and development
collaborations, supply agreements, service agreements, distribution
and manufacturing agreements.
- JD from an ABA accredited law school and admitted to
Massachusetts Bar (or able to waive in)
- In-depth knowledge of contract law and commercial issues
- Excellent verbal and written communication skills, attention to
detail and solid analytical skills
- Creative problem-solving ability with a focus on achieving
client-friendly solutions while managing company risk
- Highly driven and self-motivated
- Ability to manage a large volume of projects and transactions
in a timely and efficient manner
- Life Science transactional experience strongly preferredNEB
